Disputes will be resolved through a two-step Alternate Dispute Resolution mechanism:
Stage 1: Mediation. A sole mediator (neutral third party) will be appointed by mutual consent. If consensus cannot be reached after two proposed mediators, we reserve the right to appoint the mediator. The mediator’s decision is not binding; parties will attempt in good faith to abide by it.
Stage 2: Arbitration. If mediation fails, binding arbitration follows. The Arbitration Board shall comprise three members—one appointed by each party and the third nominated by the two members. Arbitration shall be held in Delhi, India, in English. The arbitrator’s award shall be final and binding. If unresolved, the dispute shall be referred to the courts at Delhi, India.
